Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of Invio, including the website at app.inviopay.com and related services (collectively, the “Service”) operated by Invio (“Invio,” “we,” “us,” or “our”). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

You must be at least 18 years old and able to enter into a binding contract to use Invio. You are responsible for keeping your login credentials secure and for all activity that occurs under your account. Notify us immediately of any unauthorized use.

Invio is a tool that lets freelancers send invoices and accept payments through their own connected Stripe account. You, not Invio, are responsible for your own connected Stripe account, invoices, clients, refunds, disputes, chargebacks, taxes, prohibited businesses, and compliance with Stripe’s rules, including the Stripe Services Agreement and Restricted Businesses list.

You agree not to use Invio to invoice for goods or services that are illegal, fraudulent, deceptive, or otherwise prohibited by Stripe or by applicable law in any jurisdiction in which you or your client are located.

All payments are processed by Stripe under your connected account. Invio does not hold funds on your behalf and is not a party to the transaction between you and your client. You are solely responsible for issuing refunds, responding to chargebacks, and resolving disputes with your clients. Any fees charged by Stripe are governed by your agreement with Stripe.

Invio may, at its sole discretion and without prior notice, block Stripe payment links, suspend payment features, or disable your account if your account is restricted, risky, fraudulent, violates Stripe or Invio rules, or otherwise creates risk for Invio. We may also disable accounts that engage in patterns of chargebacks, refunds, disputes, or other behavior we reasonably believe to be abusive, pending review.

We may reinstate access at our discretion once a review is complete. We are not liable for any losses resulting from a suspension or termination made in good faith under this section.

You agree not to: (a) use the Service for any unlawful purpose; (b) attempt to gain unauthorized access to the Service or any related system; (c) interfere with or disrupt the Service; (d) misrepresent your identity or your business; or (e) use the Service to send spam, malware, or harmful content.

The Service, including its software, design, and content provided by Invio, is owned by Invio and protected by intellectual property laws. You retain ownership of the content you upload (such as invoice details and your branding), and you grant Invio a limited license to use that content solely to operate and improve the Service.

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied. Invio does not warrant that the Service will be uninterrupted, error-free, or secure, or that any payment will be successfully processed by Stripe.

To the maximum extent permitted by law, Invio will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly. Invio’s total liability for any claim arising out of or relating to these Terms or the Service will not exceed the greater of (i) the amounts you paid to Invio in the twelve months preceding the claim, or (ii) one hundred U.S. dollars ($100).

You agree to indemnify and hold harmless Invio and its officers, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of your use of the Service, your content, your violation of these Terms, or your violation of any law or third-party right, including Stripe’s rules.

You may stop using the Service at any time. We may suspend or terminate your access to the Service at any time, with or without cause, including under Section 5. Upon termination, the provisions of these Terms that by their nature should survive will survive.

We may update these Terms from time to time. If we make material changes, we will notify you through the Service or by email. Your continued use of the Service after the changes take effect constitutes your acceptance of the revised Terms.
